We want to build a team of champions. That’s why Wavin is currently looking for a Senior Legal Counsel to join our team at United Kingdom (Remote). If you want to make a difference and work for a purpose-led company, please read on.
The purpose of the position is to provide legal advice and support in both local and international environment, in order to enable the business to achieve its objectives in accordance with legislation, internal compliance standards and procedures. The Senior Legal Counsel will be involved in (inter)national commercial contracting, claims and litigation, corporate housekeeping and information management. In addition, the counsel will have to oversee external lawyers and manage budget for external engagements. Work together with the compliance team to ensure that the operations and business transactions follow all relevant legal and internal rules. The position is responsible for all company’s business in the United Kingdom and Ireland. In addition, the counsel will support the legal need of the North American market.
Key areas of responsibility -
Manage legal risks;
Provide effective and pragmatic legal support and counselling to the business and related entities to bring clarity and sound understanding of the company’s rights and obligations, anticipate and reduce risks and liablities, and ensure legal compliance with regards to:
Contracts, agreements, transactions, general terms and conditions in the context of all business related matters including outsourcing, agency, distribution, sales channel, supply and subcontract agreements.
Advising the business on relevant regulations and compliance, providing solutions and resolution to disputes and litigation;
Review draft contracts, agreements to ensure compliance with all statutory and legal requirements, as well as the internal policies Liaise with relevant departments to ensure where legal risks have been identified within the group, appropriate courses of action have been taken from a legal context;
Follow-up contract including claims, litigation and arbitration;
Arrange for corporate housekeeping, assist the Group Companies in necessary procedures, protocols, and decisions to maintain their status and operate legally;
Provide support with respect to corperate governance, ethics and business conduct, data protection and privacy;
Review and advise management on legal implications of alignment of internal policies and procedures;
Participate in mergers and acquisitions projects involving the Wavin Business Group.
Experience required -
Master’s degree in Law with focus on Corporate and/or Commercial
9-12 years of experience a Legal Counsel in a corporate business environment
Experience with international commercial law and compliance
Experience in drafting various (inter)national contracts relating to industrial, manufacturing, supply, intellectual property, commercial, corporate (and all aspects which flow out of the same)
Experience in international corporate housekeeping
Experience in claim handling and litigation
Experience in contacts with and investigations by regulatory authorities
Being able to provide independent advice to senior level management on corporate legal and compliance matters
Working with multidisciplinary teams e.g. tax, finance, legal
Experience with mergers and acquisitions is desirable
Excellent knowledge and understanding of commercial and corporate law and procedures
Knowledge of international commercial contracting
General knowledge of competition laws and data privacy laws
Understanding of legal / risk matters and compliance relevant to a multinational company
